Dassault Systèmes S.A. Prices Initial Public Offering

 

Suresnes - France - June 28, 1996 - Dassault Systèmes S.A. (Nasdaq: DASTY) announced today the global initial public offering of 7,812,445 shares of its common stock at a price of $23.00 per American Depositary Share (FF 118.02 per share). The offering was more than 35 times over-subscribed. Upon completion of the offering, approximately 15.2% of the Company's 51,388,930 total outstanding shares will be held by the public (17.5% if the underwriters' over-allotment option to purchase up to an additional 1,171,868 shares is exercised in full). The settlement and closing of the offering is expected to take place on or about July 3, 1996.

 

All of the shares offered in the initial public offering were offered for sale by the Company's current shareholders. The Company will not receive any proceeds from the offering.

American Depositary Shares representing the Company's shares have been approved for quotation on the Nasdaq Stock Market's National Market under the symbol "DASTY" and the shares have been approved for listing on the Paris Bourse. The shares are also expected to be quoted on SEAQ International.

Morgan Stanley & Co. International Limited acted as Global Coordinator and sole bookrunner of the initial public offering and Société Générale acted as Co-Global Coordinator. Morgan Stanley & Co. Incorporated was lead manager of the U.S. tranche, with J.P. Morgan Securities Inc., Wessels, Arnold & Henderson and Société Générale Securities Corporation acting as co-managers. Morgan Stanley & Co. International Limited and Société Générale were joint lead managers of the international tranche, with J.P. Morgan Securities Ltd. and Wessels, Arnold & Henderson LLC acting as co-lead managers.
